1. Billing & Banking Transaction Policy
To maintain full financial transparency, audit compliance, and anti-money laundering (AML) standards under the regulatory frameworks of Nepal:
- Strict Banking Channels Only: All payments for web engineering, domain registrations, AMC packages, and hosting tiers must be executed strictly through verified corporate bank transfers (Direct Bank Wire, ConnectIPS, official Corporate QR / Fonepay merchant accounts, or corporate digital wallets).
- No Informal or Cash Transactions: illionSo does not accept cash payments or third-party anonymous transfers. Every transaction must be accompanied by an official tax invoice/receipt issued by illionSo Technologies Pvt. Ltd.
- Advance Commitment: Custom development and promotional setup packages require advance milestone commitments before server provisioning and deployment begin.
2. E-Commerce SaaS Architecture & VPS Credentials Restriction
For clients utilizing our proprietary full-stack E-Commerce Software-as-a-Service (SaaS) and Dedicated CMS offerings:
- Server Access Policy: Our E-Commerce SaaS engines (including our Python Django / Next.js backend architectures) operate on managed, high-performance Shared VPS infrastructure. Root-level server credentials, SSH access, and VPS administrative logins are strictly not provided to clients. Dedicated VPS Server with full environment configuration is provided for Custom Full-Stack Engineering presented as Path 1 in our e-commerce developement page.
- Administrative Dashboard Access: Clients receive comprehensive, full-featured access to their dedicated Store Administration Dashboard to manage inventory, product pricing, order tracking, shipping slips, and customer data.
- Integrity & Security: Restricted server access protects proprietary core algorithms, ensures network stability, prevents server misconfiguration, and maintains strict data segregation across multi-tenant nodes.
3. Data Privacy in Shared & Managed Hosting Environments
- Customer Data Ownership: The Client retains 100% legal ownership of all catalog assets, customer databases, media files, and transaction records uploaded to their storefront.
- Data Isolation Consignment: In shared VPS and managed hosting environments, illionSo enforces strict database isolation, SSL encryption, and access control policies ensuring zero cross-tenant data leakage.
- Confidentiality: illionSo will never sell, monetize, or disclose your customer records or business metrics to third parties, except where mandated by applicable court orders or law enforcement directives in Nepal.
4. Pricing, Annual Maintenance (AMC), & Renewal Obligations
- Path 01 (Bespoke Full-Stack on Dedicated VPS): Includes initial 1-year technical support with an Annual Maintenance Contract (AMC) structured at Rs. 30,000/yr covering Dedicated VPS renewal, domain upkeep, and technical maintenance.
- Path 02 (Dedicated CMS / Festive SaaS Launch): Offered at promotional entry rates (e.g., Rs. 15,000 during active festive campaigns, standard Rs. 25,000 post-campaign) with a mandatory annual service renewal fee of Rs. 5,500/yr. Includes continuous core software upgrades deployed to all onboarded stores.
- Path 03 (Self-Managed cPanel Online Store): Priced at Rs. 35,000 setup with an Annual AMC of Rs. 10,000/yr covering cPanel hosting renewal, domain renewal, and fundamental technical upkeep.
- Portfolio & Personal Branding Websites: Structured from Rs. 10,000 – Rs. 15,000 on shared hosting or Rs. 20,000 for dedicated cPanel access, subject to annual hosting/domain renewals.
- Payment Gateway Integrations: Local API integrations (eSewa, Khalti, ConnectIPS, Fonepay QR) and global payment processors (Stripe, PayPal) are integrated on-demand based on merchant eligibility; additional technical integration and merchant configuration fees apply.
- Renewal Defaults: Failure to pay annual AMC or hosting renewals within 15 calendar days of the due date may result in automated service suspension, domain expiration, or data de-provisioning.
5. Evolving Technology Landscape & Hosting Price Adjustments
- Upstream Cost Adjustments: The web technology and cloud infrastructure industry evolves continuously. Global data center expenses, VPS hardware pricing, domain registry fees (ICANN / TLD registries), and currency exchange rates fluctuate over time.
- Right to Adjust Hosting/AMC Fees: illionSo reserves the right to review and adjust annual hosting, VPS server, and domain renewal fees in accordance with upstream provider cost changes upon giving at least 30 days prior notice to the Client before their renewal cycle.
- API & Third-Party Deprecations: Third-party APIs (payment gateways, courier APIs, SMS aggregators, social platforms) frequently update version protocols. Adjusting codebase architecture to comply with forced third-party API deprecations after warranty periods is subject to standard developer scoping.
6. Engineering Methodology, Scope Control & Feature Rollouts
- Sequential Development Cycles: Custom web engineering adheres to rigorous architectural phases: Requirement Discovery, Database Modeling, UI/UX Implementation, and QA Staging. Features roll out sequentially according to agreed sprint schedules.
- Scope Creep: Requests for new modules, structural redesigns, or workflow modifications not documented in the initial Statement of Work (SOW) constitute out-of-scope requests and will be quoted separately with revised delivery timelines.
- Client Responsibilities: The Client is responsible for providing timely feedback, brand assets, product catalog data, and merchant KYC documents. Delays caused by pending Client approvals will extend delivery milestones accordingly.
7. Intellectual Property Rights
- Client Materials: All logos, trademarks, brand collateral, and textual content provided by the Client remain the exclusive intellectual property of the Client.
- Proprietary Core Engines: illionSo retains all intellectual property rights, copyrights, and trade secrets in its proprietary SaaS frameworks, reusable software libraries, core CMS algorithms, and deployment automation scripts. The Client receives a non-exclusive license to use the system for their business operations during active subscription terms.
8. Limitation of Liability & Disclaimers
- No Indirect Damages: To the maximum extent permitted under Nepalese law, illionSo Technologies Pvt. Ltd. shall not be liable for any indirect, incidental, punitive, or consequential damages—including loss of sales, lost business profits, data corruption, or third-party gateway downtime.
- Service Availability: While we maintain high-availability VPS networks with 99.9% target uptime benchmarks, illionSo does not guarantee uninterrupted service in scenarios involving upstream international transit fiber cuts, global cloud provider outages, or cyberattacks beyond reasonable technical control.
- Financial Liability Cap: illionSo’s total cumulative legal liability arising from any claim or contract shall not exceed the actual fees paid by the Client to illionSo for the specific service in dispute during the preceding three (3) months.
9. Governing Law & Jurisdiction
These Terms and Conditions shall be governed by, interpreted, and enforced in accordance with the laws of Nepal (including the Electronic Transactions Act, Companies Act, and Consumer Protection laws). Any dispute, controversy, or claim arising out of or relating to this agreement that cannot be resolved amicably through mutual executive consultation shall be submitted to the exclusive jurisdiction of the competent courts in Kathmandu, Nepal.
